These Terms of Use (“Terms”) govern access to and use of the CRUUZ Marketing Services website and any CRUUZ-operated landing page or digital experience that links to these Terms (collectively, the “Website”). In these Terms, “CRUUZ,” “we,” “us,” and “our” mean CRUUZ Marketing Services.
By accessing or using the Website, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Website.
Website Purpose
The Website provides general information about CRUUZ, our marketing services, client-approved campaigns, and related business activities. Website content is provided for general informational purposes only. It is not legal, financial, lending, automotive, technical, or other professional advice and should not be relied upon as such.
Submitting a form or communicating through the Website does not, by itself, create a client, agency, fiduciary, partnership, employment, or other professional relationship with CRUUZ. Marketing services are governed by a separate written agreement. If these Terms conflict with a signed agreement between CRUUZ and a client, the signed agreement governs the subject matter of that conflict.
Eligibility and Authority
You must have legal capacity to agree to these Terms. If you use the Website on behalf of a company or other organization, you represent that you are authorized to bind that organization to these Terms.
Permitted Use
CRUUZ grants you a limited, revocable, non-exclusive, non-transferable licence to access and use the Website for lawful personal or internal business purposes, in accordance with these Terms.
You must not:
- use the Website for unlawful, fraudulent, misleading, or abusive purposes;
- interfere with the Website’s operation, security, availability, or integrity;
- introduce malware, malicious code, or harmful technology;
- attempt to gain unauthorized access to any account, system, network, or data;
- scrape, harvest, crawl, index, copy, or extract Website content or data by automated means except through standard search-engine indexing or with our prior written permission;
- reverse engineer, decompile, or attempt to discover source code or non-public systems, except where the restriction is prohibited by law;
- impersonate another person or misrepresent your identity, authority, affiliation, or intentions;
- submit information you do not have the right to provide;
- remove proprietary notices or use Website content to create a competing product, service, campaign, or derivative commercial offering; or
- assist another person in doing any prohibited act.
Intellectual Property and Marketing Materials
The Website and its content—including names, logos, trade names, designs, copy, graphics, images, videos, layouts, software, code, data compilations, and other materials—are owned by or licensed to CRUUZ and are protected by intellectual-property laws. Except for the limited licence in these Terms, no rights are granted by implication, estoppel, or otherwise.
Ownership and permitted use of marketing materials are allocated as follows, unless a signed client agreement expressly states otherwise:

| Final client deliverables | Ownership, assignment, or licensing of final deliverables is governed exclusively by the applicable signed service agreement. Unless that agreement expressly transfers ownership, CRUUZ retains ownership and grants only the licence stated in the agreement. Any transfer or licence is subject to full payment of applicable fees. |
| Third-party materials | Stock media, fonts, software, platforms, music, data, and other third-party elements remain subject to the rights and licence terms of their respective owners. They are not transferred beyond what the applicable third-party licence permits. |
No Website content or marketing material may be reproduced, modified, republished, sold, licensed, distributed, publicly displayed, or commercially exploited without prior written permission from the applicable rights holder.
Trademarks
CRUUZ names, logos, slogans, service names, and related brand elements are trademarks or trade indicia of CRUUZ or its licensors. You may not use them in a way that suggests sponsorship, endorsement, affiliation, or authorization without CRUUZ’s prior written consent.
Information and Submissions
You are responsible for the accuracy, lawfulness, and completeness of information you submit through the Website. You represent that you have all permissions required to provide that information and that doing so does not infringe another person’s rights.
Do not send confidential, privileged, or highly sensitive information through a general Website form. A submission is not treated as confidential unless CRUUZ has expressly agreed to receive it in confidence or it is protected under a separate written agreement.
If you voluntarily provide ideas, suggestions, or general feedback about the Website or our services, you grant CRUUZ a perpetual, worldwide, royalty-free right to use and incorporate that feedback without restriction or compensation. This does not transfer ownership of client confidential information or client materials governed by a written agreement.
Client Campaigns, Offers, and Third-Party Services
CRUUZ may promote or administer campaigns and offers on behalf of automotive dealerships, service providers, and other clients. Unless expressly stated otherwise:
- the applicable client, not CRUUZ, supplies and fulfils the advertised product, service, appointment, incentive, pricing, financing, or other offer;
- offers may be subject to eligibility requirements, availability, geographic limits, expiry dates, inventory, appointment capacity, official rules, and additional client terms;
- the client is responsible for final pricing, product or service representations, approvals, fulfilment, and the customer relationship; and
- CRUUZ does not guarantee inventory, financing approval, service outcomes, savings, response times, or offer availability.
CRUUZ is a marketing services provider and is not, solely by operating the Website or a campaign, the seller, dealer, lender, insurer, repair facility, or provider of the promoted client product or service.
Third-Party Websites and Platforms
The Website may contain links to or integrations with third-party websites, social networks, software, maps, payment services, analytics tools, or other platforms. CRUUZ does not control and is not responsible for third-party content, availability, security, terms, or privacy practices. A link does not imply endorsement. Your use of a third-party service is at your own risk and subject to that third party’s terms.
Website Availability and Changes
We may update, suspend, restrict, or discontinue all or part of the Website at any time. We do not guarantee uninterrupted, timely, secure, or error-free access. We may correct errors or remove content without notice.
Disclaimers
To the maximum extent permitted by law, the Website and all content are provided “as is” and “as available,” without representations, warranties, conditions, or guarantees of any kind, whether express, implied, statutory, or collateral. CRUUZ disclaims implied warranties and conditions of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, availability, and security.
CRUUZ does not warrant that Website content is current, complete, error-free, or suitable for a particular purpose, or that defects will be corrected. You are responsible for independently evaluating information before acting on it.
Limitation of Liability
To the maximum extent permitted by law, CRUUZ and its owners, directors, officers, employees, contractors, representatives, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, aggravated, or punitive damages; loss of profits, revenue, business, opportunity, goodwill, data, or anticipated savings; or business interruption arising from or relating to the Website, even if advised of the possibility of such loss.
To the maximum extent permitted by law, CRUUZ’s total aggregate liability for all claims arising solely from or relating to the Website or these Terms will not exceed CAD $100. This Website liability cap does not replace a liability provision in a signed client agreement governing paid professional services.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless CRUUZ and its owners, directors, officers, employees, contractors, representatives, and affiliates from claims, losses, liabilities, damages, judgments, costs, and reasonable legal fees arising from your unlawful use of the Website, your breach of these Terms, your infringement of another person’s rights, or information you submit without proper authority.
Privacy
Our collection, use, disclosure, and safeguarding of personal information are described in our Privacy Policy, which forms part of these Terms.
Suspension and Enforcement
We may restrict or terminate your Website access if we reasonably believe you have breached these Terms, created legal or security risk, or misused the Website. We may cooperate with lawful investigations and pursue available remedies.
Governing Law and Disputes
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict-of-law principles. Subject to any rights that cannot lawfully be waived, you irrevocably submit to the exclusive jurisdiction of the courts located in Edmonton, Alberta.
General
If any provision of these Terms is found unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; CRUUZ may assign them as part of a reorganization, financing, sale, or transfer of its business or assets.
These Terms, together with the Privacy Policy and any terms expressly incorporated by reference, constitute the entire agreement regarding use of the Website. Separate signed agreements and official promotion rules continue to govern their respective subject matter.
Changes to These Terms
We may revise these Terms from time to time. The revised version takes effect when posted unless a later date is stated. Continued use of the Website after the effective date means you accept the revised Terms.
